1. Introduction and Acceptance of Terms

Welcome to Badass Network (“we,” “us,” “our,” or the “Platform”), a community blogging platform operated by Aron & Sharon DBA BadassNetwork, located at het Achterveld 31, 4003VG Tiel, The Netherlands (KvK: 62745115, BTW: NL854940170B01).

By accessing or using our website at https://badassnetwork.com, creating an account, or purchasing a membership, you (“you,” “your,” or “Member”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our Platform.

These Terms constitute a legally binding agreement between you and Badass Network. Please read them carefully before using our services.

2. Definitions

For the purposes of these Terms:

“Platform” refers to the Badass Network website, including all subdomains, features, and services accessible through https://badassnetwork.com.
“Membership” refers to the paid subscription that grants access to the Badass Network Blogging System and associated benefits.
“Blog” or “Subsite” refers to the individual blog space allocated to each Member as part of their Membership.
“Content” refers to any text, images, videos, audio, or other materials uploaded, posted, or published on the Platform.
“Member Content” refers to Content created and published by Members on their Blogs.
“Affiliate Programme” refers to the referral commission system available to Members.

3. Eligibility

To use our Platform and become a Member, you must:

Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher.
Have the legal capacity to enter into a binding contract.
Not be prohibited from using the Platform under any applicable law.
Provide accurate, current, and complete information during registration.

By creating an account, you represent and warrant that you meet all eligibility requirements.

4. Membership and Subscription

4.1 Membership Fee

The Badass Network Blogging System is included with Basic Membership at a recurring fee of €25 per month. This fee is charged automatically on a monthly basis from the date of your initial subscription.

4.2 What Membership Includes

Your Membership grants you access to:

A customisable blog hosted as a subsite on badassnetwork.com
The shared SEO benefits of the Badass Network domain
Participation in the Affiliate Programme
Access to the private Facebook community
Access to educational resources, workshops, and support materials

4.3 Payment Terms

All payments are processed in Euros (€).
Membership fees are billed in advance on a monthly recurring basis.
You authorise us to charge your chosen payment method for all applicable fees.
Failure to pay may result in suspension or termination of your Membership.

4.4 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you at least 30 days before they take effect. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

5. Cancellation and Refunds

5.1 Cancellation by Member

You may cancel your Membership at any time through your account settings or by contacting us at [email protected]. Upon cancellation:

Your Membership will remain active until the end of your current billing period.
You will not be charged for subsequent billing periods.
Access to your Blog and Member benefits will terminate at the end of the billing period.

5.2 Refund Policy

Due to the digital nature of our services and the immediate access granted upon subscription, we generally do not offer refunds. However, we may consider refund requests on a case-by-case basis within 14 days of initial purchase, in accordance with EU consumer protection laws regarding digital content.

5.3 Termination by Badass Network

We reserve the right to suspend or terminate your Membership immediately, without notice or refund, if you:

Violate these Terms or any applicable law
Engage in fraudulent, abusive, or harmful behaviour
Fail to pay applicable fees
Misuse the Platform in any way that damages our reputation or infrastructure

6. Your Blog and Content

6.1 Blog Allocation

Upon becoming a Member, you will receive a blog hosted as a subsite on the badassnetwork.com domain. Your blog URL will typically follow the format: [yourblogname].badassnetwork.com or badassnetwork.com/[yourblogname].

6.2 Content Ownership

You retain ownership of all original Content you create and publish on your Blog. By publishing Content on the Platform, you grant Badass Network a non-exclusive, worldwide, royalty-free licence to:

Host, store, and display your Content on the Platform
Promote your Content within the network and through our marketing channels
Create backups of your Content for operational purposes

This licence terminates when your Content is removed from the Platform, except for copies retained in routine backups.

6.3 Content Responsibility

You are solely responsible for all Content you publish on your Blog. You represent and warrant that your Content:

Is original or you have the necessary rights and permissions to publish it
Does not infringe upon any third party’s intellectual property rights
Does not violate any applicable laws or regulations
Is accurate and not misleading

6.4 Content Backup

While we maintain regular backups of the Platform, you are responsible for maintaining your own backups of your Content. We are not liable for any loss of Content.

7. Prohibited Content and Conduct

You agree not to publish Content or engage in conduct that:

7.1 Illegal or Harmful Content

Violates any applicable law, regulation, or legal obligation
Promotes or facilitates illegal activities
Contains malware, viruses, or harmful code
Constitutes spam, phishing, or deceptive practices

7.2 Offensive Content

Is defamatory, libellous, or slanderous
Contains hate speech or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
Is obscene, pornographic, or sexually explicit
Glorifies violence, terrorism, or self-harm
Harasses, bullies, or threatens any individual or group

7.3 Intellectual Property Violations

Infringes upon copyrights, trademarks, patents, or other intellectual property rights
Contains plagiarised content
Uses others’ content without proper permission or attribution

7.4 Platform Abuse

Attempts to gain unauthorised access to the Platform or other users’ accounts
Interferes with the Platform’s operation or infrastructure
Uses automated tools to access the Platform without permission
Creates multiple accounts for fraudulent purposes
Manipulates SEO through black-hat techniques that could harm the network

7.5 Misrepresentation

Impersonates any person or entity
Makes false or misleading claims about products, services, or earnings
Publishes fake reviews or testimonials

8. Community Guidelines

8.1 Facebook Community

Access to the private Facebook community is a privilege of Membership. You agree to:

Treat all community members with respect and professionalism
Refrain from spam, self-promotion outside designated areas, or solicitation
Keep discussions constructive and on-topic
Not share private community content outside the group
Follow all Facebook Community Standards in addition to these Terms

Violations of community guidelines may result in removal from the community and/or termination of Membership.

8.2 Network Conduct

As a member of the Badass Network, you represent not only yourself but the community as a whole. You agree to conduct yourself professionally and ethically in all interactions related to the Platform.

9. Intellectual Property

9.1 Platform Intellectual Property

All intellectual property rights in the Platform, including but not limited to the website design, logos, trademarks, software, and proprietary content, are owned by or licensed to Badass Network. You may not use, reproduce, or distribute any Platform intellectual property without our express written permission.

9.2 Trademarks

“Badass Network” and associated logos are trademarks of Aron & Sharon DBA BadassNetwork. You may not use these trademarks without prior written consent, except as permitted for Affiliate Programme activities as outlined in the Affiliate Agreement.

10. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
WARRANTIES OF NON-INFRINGEMENT
WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

We do not guarantee any specific results from using the Platform, including but not limited to traffic, rankings, or income.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1 Exclusion of Damages

IN NO EVENT SHALL BADASS NETWORK, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from your use or inability to use the Platform
Damages arising from any Content published on the Platform
Damages arising from unauthorised access to your account

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any other liability that cannot be excluded or limited under applicable law

12. Indemnification

You agree to indemnify, defend, and hold harmless Badass Network, its owners, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

Your use of the Platform
Your Content
Your violation of these Terms
Your violation of any third party’s rights
Your participation in the Affiliate Programme

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. We will notify Members of material changes via email or through the Platform.

Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and cancel your Membership.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

14.3 Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will make good faith efforts to resolve any issues within 30 days.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Earnings Disclaimer, and Affiliate Agreement (if applicable), constitute the entire agreement between you and Badass Network regarding your use of the Platform.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or internet outages.
