Affiliate Agreement

1. Introduction

This Affiliate Agreement (“Agreement”) governs your participation in the Badass Network Affiliate Programme (“Programme”), operated by Aron & Sharon DBA BadassNetwork, located at het Achterveld 31, 4003VG Tiel, The Netherlands (KvK: 62745115, BTW: NL854940170B01).

By enrolling in the Programme, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement, our Terms of Service, Privacy Policy, and Earnings Disclaimer, all of which are incorporated herein by reference.

This Agreement constitutes a legally binding contract between you and Badass Network (“we,” “us,” or “our”). Please read it carefully before participating in the Programme.

2. Programme Overview

2.1 Programme Description

The Badass Network Affiliate Programme allows Members to earn commissions by referring new members to Badass Network. When someone you refer becomes a paying member, you earn a percentage of their membership fees for as long as they remain an active member.

2.2 Eligibility

To participate in the Programme, you must:

  • Be an active and approved affiliate of Badass Network in good standing
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding agreements
  • Comply with all applicable laws and regulations
  • Agree to and comply with the terms of this Agreement

2.3 Enrolment

Enrolment in the Programme is automatic upon becoming a Badass Network Member. Your unique affiliate link and tracking information will be provided in your Member dashboard.

3. Commission Structure

3.1 Commission Rate

You will earn a commission of 40% (forty percent) on all membership payments made by individuals you refer to Badass Network.

Based on the current Basic Membership fee of €25 per month, this equates to €10 per referral per month.

3.2 Recurring Commissions

Commissions are recurring, meaning you continue to earn commissions for as long as your referred member maintains an active, paid membership.

3.3 Commission Calculation

Commissions are calculated based on:

  • The net amount of the membership payment (excluding any applicable taxes or fees)
  • Only payments made after your referral’s initial successful subscription
  • The commission rate in effect at the time of payment

3.4 First-Referral Attribution

A referral is attributed to the Affiliate whose affiliate link was first used by the referred individual. If a prospect clicks multiple affiliate links, the first affiliate receives credit for any resulting membership.

3.5 Cookie Duration

Our tracking system uses cookies to attribute referrals. The standard cookie duration is 30 days. If a prospect clicks your affiliate link and purchases a membership within 30 days, you receive commission credit.

4. Referral Qualifications

4.1 Qualifying Referrals

For a referral to qualify for commission, the referred individual must:

  • Use your unique affiliate link to reach Badass Network
  • Complete the membership registration process
  • Make their first successful membership payment
  • Not request a refund within any applicable refund period
  • Not be an existing or former Member of Badass Network

4.2 Non-Qualifying Referrals

You will not earn commissions on:

  • Self-referrals (referring yourself or your own accounts)
  • Referrals from immediate family members or individuals in your household
  • Fraudulent, incentivised, or manipulated sign-ups
  • Referrals who cancel or request refunds before the qualifying period
  • Referrals obtained through prohibited promotional methods
  • Transactions that are reversed, charged back, or refunded

4.3 Verification

We reserve the right to verify the legitimacy of any referral before crediting commissions. Suspicious activity may result in delayed payment, forfeiture of commissions, or termination from the Programme.

5. Payments

5.1 Payment Schedule

Commissions are paid on a monthly basis. Payments are processed within 30 days following the end of each calendar month, subject to meeting the minimum payment threshold.

5.2 Minimum Payment Threshold

The minimum payment threshold is €50. Commissions below this threshold will roll over to the following month until the minimum is reached.

5.3 Payment Methods

Payments will be made via:

  • Bank transfer (SEPA for EU accounts)
  • PayPal
  • Other methods as agreed upon

You are responsible for providing accurate payment information. We are not liable for payments sent to incorrect accounts due to errors in your provided information.

5.4 Payment Currency

All commissions are calculated and paid in Euros (€).

5.5 Taxes

You are solely responsible for reporting and paying any taxes owed on your commission earnings. We may be required to report your earnings to tax authorities and may request tax documentation from you.

If required by law, we will deduct applicable withholding taxes from your payments.

5.6 Commission Adjustments

Commissions may be adjusted or reversed in cases of:

  • Refunded or cancelled memberships
  • Chargebacks or payment disputes
  • Fraudulent or invalid referrals
  • Errors in commission calculation

6. Promotional Guidelines

6.1 Permitted Promotional Methods

You may promote Badass Network through:

  • Your personal blog or website
  • Social media accounts you own or control
  • Email marketing to your own opted-in subscribers
  • Word-of-mouth and personal recommendations
  • Guest posting and content marketing
  • YouTube videos and podcasts you produce
  • Other legitimate marketing channels

6.2 Required Disclosures

You must clearly disclose your affiliate relationship in all promotional content. This includes:

  • A clear statement that you may earn commissions from referrals
  • Placement of disclosure where it is easily noticeable (not buried or hidden)
  • Compliance with platform-specific disclosure requirements (e.g., social media platforms)

Example disclosures:

  • “This post contains affiliate links. If you sign up through my link, I may earn a commission at no extra cost to you.”
  • “Affiliate disclosure: I’m a member of Badass Network and earn commissions when you join through my link.”
  • “#ad” or “#affiliate” on social media posts (where appropriate)

6.3 Accurate Representation

You must:

  • Represent Badass Network accurately and honestly
  • Only make claims that are truthful and can be substantiated
  • Not misrepresent the features, benefits, or costs of membership
  • Not make guarantees about income, results, or success
  • Refer to our official materials for accurate information

6.4 Brand Guidelines

When using Badass Network branding:

  • Use official logos and images only as provided
  • Do not alter or modify our trademarks or branding
  • Do not use our brand in a way that implies official endorsement beyond your affiliate status
  • Follow any brand guidelines we provide

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:

7.1 Spam and Unsolicited Communications

  • Sending unsolicited emails (spam)
  • Bulk messaging on social media platforms
  • Posting in forums, groups, or comment sections without permission
  • Any promotional method that violates anti-spam laws

7.2 Paid Advertising Restrictions

  • Bidding on “Badass Network” or related branded keywords in paid search advertising
  • Running ads that directly use our brand name without written permission
  • Creating ads that could be confused with official Badass Network advertising

7.3 False or Misleading Claims

  • Making income guarantees or unrealistic earnings claims
  • Misrepresenting the nature, cost, or benefits of membership
  • Creating fake reviews or testimonials
  • Using deceptive marketing tactics

7.4 Incentivised Sign-ups

  • Offering cash, discounts, or gifts in exchange for sign-ups
  • Sharing commissions with referrals as an incentive to join
  • Any scheme designed to artificially inflate sign-ups without genuine interest

7.5 Trademark and Domain Violations

  • Registering domains containing “Badass Network” or similar terms
  • Using our trademarks in social media handles or business names
  • Creating websites designed to be confused with official Badass Network properties

7.6 Unethical or Illegal Conduct

  • Any activity that violates applicable laws or regulations
  • Targeting vulnerable populations with manipulative marketing
  • Engaging in harassment or intimidation
  • Any conduct that could damage Badass Network’s reputation

7.7 Technical Manipulation

  • Using cookie stuffing, forced clicks, or other tracking manipulation
  • Employing bots or automated systems to generate fake referrals
  • Circumventing our tracking systems

8. Intellectual Property

8.1 Limited Licence

We grant you a limited, non-exclusive, revocable licence to use Badass Network trademarks, logos, and promotional materials solely for the purpose of promoting the Platform as an Affiliate, subject to the terms of this Agreement.

8.2 Restrictions

You may not:

  • Modify, alter, or create derivative works from our intellectual property
  • Use our intellectual property for any purpose other than Programme promotion
  • Sublicense or transfer your rights to any third party
  • Use our intellectual property in any way that could be harmful or misleading

8.3 Termination of Licence

This licence terminates automatically upon termination of your participation in the Programme or upon our request.

9. Relationship of Parties

9.1 Independent Contractor

You are an independent contractor, not an employee, agent, partner, or joint venture participant of Badass Network. This Agreement does not create any employment, agency, partnership, or joint venture relationship.

9.2 No Authority

You have no authority to:

  • Make commitments or enter into contracts on our behalf
  • Represent yourself as a representative or employee of Badass Network
  • Bind us to any obligation or liability

9.3 Your Responsibility

You are solely responsible for:

  • Your promotional activities and compliance with laws
  • Your own taxes, insurance, and business expenses
  • Any employees, contractors, or agents you engage
  • Any claims arising from your promotional activities

10. Term and Termination

10.1 Term

This Agreement begins when you enrol in the Programme and continues until terminated by either party.

10.2 Termination by You

You may terminate your participation in the Programme at any time by:

  • Contacting us in writing at [email protected]
  • Ceasing all promotional activities
  • Removing affiliate links from your content

10.3 Termination by Us

We may terminate your participation in the Programme at any time, with or without cause, by providing notice to you. Grounds for immediate termination include, but are not limited to:

  • Violation of this Agreement
  • Violation of our Terms of Service
  • Fraudulent or unethical conduct
  • Any activity that damages our reputation
  • Cessation of the Programme entirely

10.4 Effect of Termination

Upon termination:

  • You must immediately cease all promotional activities
  • You must remove all affiliate links and promotional materials
  • You forfeit any unpaid commissions if terminated for cause
  • Commissions earned prior to termination for convenience will be paid according to normal schedule, subject to minimum thresholds
  • All licences granted under this Agreement terminate immediately

10.5 Survival

Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination of this Agreement.

11. Modification of Programme

11.1 Right to Modify

We reserve the right to modify any aspect of the Programme at any time, including:

  • Commission rates and structure
  • Payment terms and thresholds
  • Promotional guidelines
  • Terms of this Agreement

11.2 Notice of Changes

We will provide reasonable notice of material changes via email or through your Member dashboard. Changes to commission rates will not affect commissions already earned.

11.3 Acceptance of Changes

Continued participation in the Programme after changes are communicated constitutes acceptance of those changes. If you do not agree to changes, your sole remedy is to terminate your participation.

12. Warranties and Disclaimers

12.1 No Guarantees

WE MAKE NO GUARANTEES REGARDING:

  • The amount of commissions you will earn
  • The number of referrals you will generate
  • The conversion rate of your promotional efforts
  • The continuation of the Programme

12.2 Programme Provided “As Is”

THE PROGRAMME IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

12.3 Earnings Disclaimer

Please refer to our Earnings Disclaimer for important information about income potential. Your results will depend on your own efforts and many factors beyond our control.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

13.1 Exclusion of Damages

BADASS NETWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAMME, INCLUDING BUT NOT LIMITED TO:

  • Lost profits or revenue
  • Loss of referrals or business opportunities
  • Damages arising from Programme modifications or termination
  • Any other economic loss

13.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE PROGRAMME SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Badass Network, its owners, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your promotional activities
  • Your violation of this Agreement
  • Your violation of any law or regulation
  • Any claims made by your referrals or third parties
  • Your content or marketing materials

15. Confidentiality

15.1 Confidential Information

You agree to keep confidential:

  • Commission rates and payment terms (unless publicly disclosed by us)
  • Non-public information about the Programme
  • Business strategies and internal communications
  • Any other information designated as confidential

15.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of yours
  • You received independently from a third party
  • You are required to disclose by law

16. Governing Law and Disputes

16.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

16.3 Informal Resolution

Before initiating any legal proceedings, you agree to contact us at [email protected] to attempt to resolve any dispute informally.

17. General Provisions

17.1 Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and Earnings Disclaimer, constitutes the entire agreement between you and Badass Network regarding the Programme.

17.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.

17.4 Assignment

You may not assign or transfer your rights under this Agreement without our written consent. We may assign our rights without restriction.

17.5 Notices

Notices under this Agreement will be sent to the email address associated with your account. You are responsible for keeping your contact information current.

19. Acknowledgement and Acceptance

By participating in the Badass Network Affiliate Programme, you acknowledge that:

  1. You have read and understood this Agreement
  2. You agree to comply with all terms and conditions
  3. You have read and agree to the Terms of Service, Privacy Policy, and Earnings Disclaimer
  4. You understand that commissions are not guaranteed
  5. You will promote Badass Network ethically and in compliance with all applicable laws

This Affiliate Agreement was last updated in December 2025. By participating in the Badass Network Affiliate Programme, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
